• Drafting and negation of letters of intent, purchase and sale agreements, property development agreements, land-use agreements, A1A design and construction agreements, commercial leases, management agreements, brokerage agreements and financing agreements • Due diligence including review of title policies, insurance claims, all leases and lease files, contracts, surveys, studies, notices of violation of laws, assessments, appraisals, environmental and engineering reports, permits, approvals, plans, specifications and all correspondence relating to the foregoing
• Insuring title to the property as good and marketable, clear of all liens, encumbrances, defects and burdens and in fee simple absolute except for those covered by the purchase and sale agreement
• Support in all 4 phases of property development: land purchase, construction, declaration of covenants, conditions and restrictions, to sales of units
• Drafting and negotiation of cross-collaterization agreements, first mortgage agreements, loan modification agreements, promissory notes, guaranties, anti-coercion and errors and omissions agreements
